Daysi Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Daysi platform, including our website, chatbot software, analytics dashboards, integrations, and related services (collectively, the "Service").

Daysi is operated by Rdentify Ltd ("Daysi", "we", "us", or "our").

By creating an account, starting a free trial, subscribing to a plan, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use the Service.

1. About the Service

Daysi is an AI-powered assistant platform designed to help businesses automate customer conversations and generate insights from those interactions. The Service may include:

• AI-powered chat assistants
• ingestion of knowledge from websites, documents, or FAQs
• conversation analytics and insights
• integrations with third-party tools and platforms
• dashboards and reporting tools.

We may modify, update, or discontinue features of the Service at any time as part of ongoing product development.

2. Eligibility

You must be at least 18 years old and have authority to enter into these Terms on behalf of your organisation.

You are responsible for all activity conducted through your account.

If you create an account on behalf of a company or organisation, that organisation is considered the owner of the account.

3. Accounts

To use certain features of the Service you must create an account. You agree to:

• provide accurate and complete account information
• maintain the security of your login credentials
• notify us promptly of any unauthorised access.

You are responsible for all activity that occurs under your account.

4. Free Trial

Daysi may offer a 30-day free trial for evaluation of the Service. Trial access may include usage limits.

Free trials are intended solely for evaluating the Service. Daysi reserves the right to refuse or limit free trials where multiple accounts are created to bypass trial limits.

If you provide payment details during the trial, your subscription will automatically begin at the end of the trial period unless cancelled before the trial expires.

5. Subscriptions and Billing

Billing Cycle

Daysi operates on a 30-day subscription billing cycle. By subscribing to a paid plan you authorise Daysi to charge your chosen payment method every 30 days for the applicable subscription fee.

Subscriptions automatically renew unless cancelled before the next billing date.

Payment Processing

Payments are processed through secure third-party payment providers such as Stripe. You agree to provide accurate billing information and maintain valid payment details.

Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades may take effect immediately and may result in prorated charges. Downgrades generally take effect at the start of the next billing cycle.

Cancellation

You may cancel your subscription at any time through the account dashboard. When cancelled:

• your subscription remains active until the end of the current billing cycle
• no further charges will occur.

Customers are responsible for cancelling their subscription before the next billing date if they do not wish to continue using the Service.

Refund Policy

Except where required by law, subscription fees are non-refundable once a billing cycle has started. Access to the Service during a billing period constitutes delivery of the Service.

Payment Disputes and Chargebacks

If a payment dispute or chargeback is initiated through your payment provider, Daysi may suspend access to the Service until the dispute is resolved. Initiating an unjustified chargeback may be considered a violation of these Terms.

Pricing Changes

Daysi may update subscription pricing or plan features from time to time. Where pricing changes affect your subscription, we will provide reasonable notice and the new pricing will apply from the next billing cycle.

Taxes

Subscription fees may be subject to applicable taxes depending on your location. Any required taxes will be calculated and added during checkout where applicable.

6. Acceptable Use

You agree not to use the Service to:

• violate laws or regulations
• transmit illegal, harmful, abusive, or misleading content
• impersonate another person or organisation
• generate spam or deceptive messages
• attempt to interfere with the platform
• reverse engineer or exploit the Service.

Daysi reserves the right to suspend accounts that violate these rules.

7. Customer Content

You may upload or connect content including FAQs, website content, documentation, and knowledge bases.

You retain ownership of your content. By using the Service, you grant Daysi a limited licence to process, store, and analyse this content solely to provide the Service.

You represent that you have the rights required to upload and use this content.

8. AI-Generated Responses

The Service uses artificial intelligence to generate responses, summaries, and insights.

AI-generated outputs may occasionally be inaccurate, incomplete, or inappropriate.

Customers are responsible for supervising chatbot behaviour and ensuring responses are suitable for their business and users.

Daysi does not guarantee the accuracy or reliability of AI-generated outputs.

9. No Professional Advice

The Service may generate automated responses or insights but does not provide legal, financial, regulatory, or professional advice.

Customers remain responsible for ensuring compliance with applicable laws and regulations.

10. Customer Supervision of AI

Customers are responsible for monitoring chatbot behaviour and reviewing conversations generated by the Service.

Daysi provides analytics tools to assist monitoring but customers remain responsible for the deployment and supervision of automated responses.

11. Data and Analytics

Daysi processes conversation data in order to provide analytics and insights including sentiment analysis, conversation trends, knowledge gaps, and performance metrics.

Daysi may also analyse anonymised and aggregated data to improve the Service and develop new features.

Personal data is handled according to the Daysi Privacy Policy.

12. Usage Limits

Subscription plans may include limits such as conversation volume, AI response usage, integrations, and storage capacity.

If usage significantly exceeds reasonable limits for a plan, Daysi may require an upgrade or temporarily restrict usage.

13. Integrations

The Service may integrate with third-party platforms such as messaging tools, CRMs, helpdesk software, and e-commerce systems.

Use of those services is governed by their own terms. Daysi is not responsible for the operation or availability of third-party services.

14. Beta Features

From time to time Daysi may offer features labelled as beta, preview, or experimental. These features may change or be discontinued and are provided on an "as-is" basis.

15. Platform Protection

Daysi may temporarily restrict or suspend access to the Service if activity threatens the security, stability, or performance of the platform.

16. Security

Daysi implements reasonable technical and organisational measures to protect the Service. However, no system can guarantee complete security.

Customers are responsible for safeguarding account credentials.

17. Data Retention

Daysi may retain conversation data and analytics for a limited period after account termination for operational or legal purposes.

Customers are responsible for exporting data they wish to retain prior to cancellation.

18. Export Compliance

Customers agree not to use the Service in violation of export control laws or international sanctions.

19. Intellectual Property

The Service, including its software, design, analytics systems, and AI models, is owned by Daysi.

You may not copy, modify, distribute, or reverse engineer any part of the Service without permission.

20. Platform Attribution

Unless otherwise agreed, Daysi may display a small "Powered by Daysi" attribution within chatbot interfaces.

21. Suspension and Termination

Daysi may suspend or terminate accounts if:

• these Terms are violated
• payment obligations are not met
• platform security is threatened.

You may stop using the Service at any time.

22. Limitation of Liability

To the maximum extent permitted by law, Daysi will not be liable for indirect damages, loss of profits, loss of business opportunities, or loss of data.

Daysi's total liability for any claim will not exceed the amount paid to Daysi during the three months preceding the claim.

23. Indemnification

You agree to indemnify and hold harmless Daysi from claims arising from your use of the Service, your uploaded content, or violations of these Terms.

24. Force Majeure

Daysi will not be liable for failure or delay caused by events beyond reasonable control, including infrastructure outages, internet failures, or natural disasters.

25. Changes to the Terms

Daysi may update these Terms from time to time. When changes are made, the "Last Updated" date will be revised.

Continued use of the Service constitutes acceptance of the updated Terms.

26. Governing Law

These Terms are governed by the laws of Gibraltar. Disputes will be resolved in the courts of that jurisdiction.
